Calendar days vs business days in real estate contracts, by state

Calendar days vs business days real estate rules differ by state form. See which deadlines count each, which holidays are skipped, and the CD rule.

The calendar days vs business days real estate question looks small until the same 10-day period ends five days apart depending on which one your contract uses. Most state purchase forms count calendar days. A few count business days for some or all deadlines, and the federal Closing Disclosure rule has a definition of its own.

Quick answer: Calendar days count every day, including weekends and holidays. Business days skip Saturdays, Sundays and the holidays your contract names. The Texas, Florida, Georgia, North Carolina, Arizona and Tennessee forms count calendar days. Illinois and Maine use business days for key deadlines, and the Closing Disclosure rule skips only Sundays and federal holidays.

What is the difference between calendar days and business days in a real estate contract?

A calendar day is any day on the calendar. If your contract says “within 10 days” and means calendar days, weekends and Thanksgiving all count.

A business day is usually Monday through Friday, minus holidays. Which holidays depends on the form: some name the federal list, some use state legal holidays, and some never define the term. In most forms, both counts start the day after the effective date. The difference is what you skip.

Which states count calendar days and which use business days?

Here is how eight widely used forms handle it.

State and form Unit Detail
Texas, TREC Resale Contract 20-19 Calendar days Counting starts the day after the Effective Date
Florida, FR/BAR AS IS contract Calendar days The form says calendar days are used for all time periods
Georgia, GAR F201 Calendar days A “Day” is a full calendar day ending at 11:59 p.m.
North Carolina, Form 2-T Calendar days Consecutive days, including Saturdays, Sundays and holidays
Arizona, AAR Residential Resale contract Calendar days All references to days are calendar days
Illinois, Multi-Board 8.0 Business days for attorney review (5), inspection (5) and insurability (10); calendar days for financing (45) Business Days are Monday to Friday, excluding federal holidays
Maine, Maine REALTORS P&S (2025) Business days for every “days” deadline Excludes Saturdays, Sundays and observed Maine and federal holidays
Washington, NWMLS Form 21 Calendar days, but periods of 5 days or less skip weekends and legal holidays Holidays come from the state statute, RCW 1.16.050

Mixed forms are where people slip. The California RPA counts calendar days but allows 3 business days for the initial deposit. New Jersey attorney review skips weekends and state holidays, while the additional deposit counts calendar days. Our post on the Illinois attorney review period walks through a business-day count on a live file.

How are business days counted when a holiday falls in the middle?

Start on the day after the effective date and count only days that are not a Saturday, Sunday or listed holiday. Each skipped holiday pushes the deadline out one more weekday.

The holiday list changes the answer. The Illinois Multi-Board contract skips federal holidays only, so an Illinois state holiday like Lincoln’s Birthday still counts. The Maine form adds Patriots’ Day, the third Monday in April. Washington’s statute and Texas’s TREC definition of “Legal Holiday” both include the Friday after Thanksgiving and leave out Columbus Day.

If your form says business days but never defines them, ask the broker or attorney which holidays apply before you put a date on the calendar.

What counts as a business day for the Closing Disclosure?

The federal rule for most financed purchases uses a stricter definition. For Closing Disclosure timing under Regulation Z, a business day is every calendar day except Sundays and the legal public holidays listed in 5 U.S.C. 6103(a). Saturdays count. Under 12 CFR 1026.19(f), the buyer must receive the Closing Disclosure no later than three business days before consummation, which is usually the loan signing.

Two details catch people:

  • The count uses the holiday’s real date. When a fixed-date holiday such as July 4 lands on a Saturday and federal offices close on Friday, the CFPB’s official commentary says the observed Friday is still a business day for this count.
  • Mail adds time. If the disclosure is not handed to the buyer in person, the buyer is treated as receiving it three business days after it is delivered or placed in the mail.

Your lender confirms the Closing Disclosure date; your job is to make sure the closing date leaves room for it.

Worked example: the same 10-day count both ways

Say the effective date is Wednesday, November 18, 2026, and the contract gives 10 days for a deadline. Day 1 is Thursday, November 19.

How you count What you skip Day 10 lands on
Calendar days Nothing Saturday, November 28, 2026
Business days, federal holidays Weekends and Thanksgiving (Nov. 26) Thursday, December 3, 2026
Business days, a list that also includes the Friday after Thanksgiving Weekends, Nov. 26 and Nov. 27 Friday, December 4, 2026

Same number, up to six days apart.

The calendar-day answer raises a second question: what happens on a Saturday? Under the Florida FR/BAR contract, a deadline that ends on a Saturday extends to 5:00 p.m. on the next business day, here Monday, November 30. Under the Georgia F201, it does not move. It ends Saturday at 11:59 p.m. Georgia time.

Now the closing. If the file closes on Tuesday, January 19, 2027, count back three Closing Disclosure business days. Monday, January 18 is Martin Luther King Jr. Day, so you skip it. You skip Sunday too. Saturday, January 16 is day 1, Friday is day 2 and Thursday is day 3. The buyer needs the disclosure in hand by Thursday, January 14, 2027. If the lender mails it, it would need to go out by Monday, January 11.

How do you avoid counting mistakes on a file?

  • Read the form’s time paragraph first: it gives the unit, the holiday list and the start day.
  • Check each deadline’s own wording, since some forms mix units.
  • Write the unit next to every date, such as “10 BD” or “10 CD.”
  • Recount after any amendment that changes the effective date or a day count.

Our free closing deadline calculator applies each state form’s unit, holiday list and weekend rule, and it shows which holidays it skipped in each count. The executed contract controls every date, so confirm deadlines with the agent, broker or attorney on the file.

Frequently asked questions

Do weekends count as calendar days in a real estate contract?

Yes. Calendar days include Saturdays, Sundays and holidays, so a 10-day period that starts the day after a Wednesday effective date ends on a Saturday. Whether that Saturday deadline then moves to Monday depends on the form. The Florida FR/BAR contract moves it to 5:00 p.m. on the next business day, while the Georgia F201 and North Carolina Form 2-T do not.

Are Saturdays business days for the Closing Disclosure?

Yes. For the Closing Disclosure timing rule, a business day is every calendar day except Sundays and the federal legal public holidays, so Saturdays count. The buyer must receive the disclosure no later than three business days before consummation. If the lender mails it, the buyer is treated as receiving it three business days after mailing. Your lender confirms the date.

Which holidays are skipped when counting business days?

The ones your contract names. The Illinois Multi-Board contract skips federal holidays only. The Maine REALTORS form skips observed Maine and federal holidays, which adds Patriots’ Day. New Jersey attorney review skips New Jersey legal holidays such as Good Friday. If a form says business days but never defines them, ask the broker or attorney before relying on a date.

Does the effective date count as day one?

Not in most forms. The Texas, Florida, Georgia, North Carolina, Arizona and Tennessee forms all start counting the day after the effective date or its equivalent, so the effective date itself is day zero. A 3-day deadline on a contract effective Monday is due Thursday. Check the definitions paragraph of the form you signed to confirm.
